Contract - Family Premium Plan

Dear Member:
Thank you for purchasing a Legal Plan. All Covered Persons may receive the legal services outlined in this Contract and any attachments (“Services”) from a group of licensed attorneys (“Provider Law Firm”) selected by the Company. The Company does not provide these Services. The Company’s network of attorneys are third-party independent contractors who agree to provide Services directly via a separate retention agreement between you and the attorney, not through the Company. A conflict check by the attorney will apply.

The Services are provided in return for your payment of the membership fee (“Fee” or “Fees,” plus applicable taxes) and abiding by the terms and conditions of this Contract. All requests for Services must be directed to a Base Immigration through the phone number disclosed in the membership portal. For legal matters that arise within the United States, but outside your state of residence, the Provider Law Firm may refer you to a Referral Attorney who is licensed in the appropriate jurisdiction. Should you move to a new state, your membership Contract will switch to your new state of residence after you notify the Company. Please refer to the General Provisions and other sections of this Contract for the terms and conditions of this legal plan, including the definitions of capitalized terms.

The Member shall report to the Company all changes to their contact information within 30 days of a change via the Company Contact Information below. N. Examination Right: The Member shall have 10 days after delivery to examine the Contract. If the Member is not satisfied with it for any reason, the Member may send written notice requesting the Contract be rescinded and their membership fee refunded. Any matter involving a person or entity who starts or takes part in a lawsuit against the Company or any of its subsidiaries or affiliates, or any matter involving a person or entity that is named as a defendant or respondent in a lawsuit started by the Company or any of its subsidiaries or affiliates, shall be specifically excluded from receiving any of the Services of this Contract, during the pendency of such lawsuit or until its resolution.
  3. Any matter, issue, consultation, action, proceeding, or dispute between the Covered Person and the Provider Law Firm or the Covered Person and the Company.
  4. Any matter related to immigration petitions or benefits filed on behalf of the covered person or its dependents before the execution of this contract.

Q. NOT INSURANCE: THE LEGAL PLANS OFFERED THROUGH THE COMPANY ARE NOT CONTRACTS OF INSURANCE OR INDEMNIFICATION INSURANCE PLANS AND ARE NOT REGULATED BY THE STATE INSURANCE REGULATOR. THE COMPANY IS NOT AN INSURANCE COMPANY AND DOES NOT GUARANTEE LEGAL REPRESENTATION IN EVERY SITUATION. THE LEGAL PLANS PROVIDE CUSTOMERS WITH ACCESS TO FREE AND DISCOUNTED LEGAL SERVICES FROM PROVIDER ATTORNEYS. THE COMPANY DOES NOT REIMBURSE OR INDEMNIFY ANY MEMBER OR PAY ANY PROVIDER ATTORNEYS OR REFERRAL ATTORNEYS FOR FEES OR EXPENSES.

R. Prevailing Language: The English language version of this Contract shall be controlling in all respects and shall prevail in case of any inconsistencies with translated versions, if any.

The Provider Law Firm reserves the right to make independent professional judgments about the provision of any Services under this Contract. The Company will in no way influence or attempt to affect the rendering of professional services by the Provider Law Firm.

T. Reinstatement Procedure: If the Company cancels this Contract for nonpayment of Fees or the Contract lapses for nonpayment of the Fee the Member may request the Contract be reinstated. A written release may be required by the Provider Law Firm prior to the disclosure of any communications between the Covered Person and the Provider Law Firm.

V. Settlement of Disputes: All disputes or claims relating to the Company; this Contract; any Company products or services; any claims or causes of action between any Covered Person, the Company and any of the Company’s officers, directors, employees, or affiliates, whether in tort or contract; shall be settled totally and finally by arbitration according to the Commercial Arbitration Rules of the American Arbitration Association. If agreed upon, the Covered Person and the Company may use other processes to settle the disputes or claims. Any Covered Person that files a claim or counterclaim against the Company or any of its officers, directors, employees, or affiliates may only participate in arbitration on an individual basis and not with any other member or as part of a class action.

W. Severability: If any provision of this Contract is deemed invalid or unenforceable in any respect, such provision shall be, to the extent possible, reformed to make it effective. If any provision is deemed invalid and incapable of being reformed, it shall not change the validity and enforceability of all other provisions of this Contract, which shall remain valid and enforceable.

X. Subrogation: If the Company or Provider Law Firm makes a payment or provides Services under this Contract and the person to or for whom payment was made or Services provided has a right to recover damages, costs, attorney’s fees, or other amounts from another person, the Company or Provider Law Firm shall be subrogated to that right.

Contract - Individual Plan

The Provider Law Firm reserves the right to make independent professional judgments about the provision of any Services under this Contract. The Company will in no way influence or attempt to affect the rendering of professional services by the Provider Law Firm.
